SPECIAL RESOLUTION: NOMINATION DEADLINE

WE RESOLVE THAT By-law 1 be amended, with immediate effect, as follows:

  • Amend Article 5.05 (B) to read:

At least sixty (60) days before the election meeting, the Nominating Committee will send a general notice to the members that an election of directors is to take place. The notice will specify the number of positions to be filled and will invite nominations in writing, to be submitted to the secretary no later than thirty (30) days before the election meeting. Nominations made after this date will not be accepted. However, if, by the 30-day deadline, insufficient well-qualified candidates have been nominated, the board in its discretion may extend the period until two (2) weeks before the election.

OUR REASONS FOR THIS RESOLUTION:

  1. The organizational by-law was adopted in 2012 and amended in 2013, 2014, 2016 and 2020.
  2. Amendments to the by-law adopted by the Board of Directors do not take effect until subsequently confirmed, with or without variation, by at least two-thirds of the votes cast at a general meeting of the members of the co-operative duly called for that purpose.
  3. The by-law sets out the process for electing directors. Currently, the by-law requires the Nominating Committee to give at least 90 days notice that an election will be held.
  4. Due to the timing of board meetings early in the year, the Co-op has had difficulty complying with this notice requirement.
  5. The Board believes that a 90-day notice requirement is unnecessarily long.
  6. If the notice period is shortened from 90 days to 60 days, the deadline for submitting nominations will need to be shortened from 60 days to 30 days.
